These Terms of Use (“Terms”) govern your access to and use of the website at harborwright.com (the “Site”) and the products, reports, dashboards, and services made available by Harborwright, LLC (“Harborwright,” “we,” “us,” or “our”). By accessing or using the Site, you agree to be bound by these Terms.
1. Acceptance of Terms
By accessing the Site, creating an account, subscribing to our newsletter, or using any Harborwright service, you confirm that you are at least 18 years old and that you accept these Terms in their entirety. If you do not agree, do not use the Site.
2. About Harborwright
Harborwright, LLC is a market intelligence firm providing economic development research, site selection analysis, market reports, and AI-assisted dashboards to public-sector, institutional, and private clients.
3. Use of the Site
You may use the Site for lawful purposes only. You agree not to (a) reverse engineer, scrape, or copy the Site beyond what is permitted by the technical means we provide; (b) use the Site to compete with Harborwright or to develop competing methodologies; (c) probe, test, or circumvent any security feature; or (d) transmit malware, spam, or other harmful content.
4. Services and Subscriptions
Specific products — including market reports, custom dashboards, and consulting engagements — are governed by separate master service agreements or order forms. Where those documents conflict with these Terms, the executed agreement controls for that engagement.
5. Intellectual Property Rights
All content on the Site — including text, data visualizations, methodologies, software, dashboards, charts, photography, and design — is the property of Harborwright, LLC or its licensors and is protected by U.S. and international intellectual property laws. No portion of the Site may be copied, redistributed, or republished without prior written permission, except for personal, non-commercial fair use in compliance with the U.S. Copyright Act.
6. Patent-Pending Methods
Certain Harborwright analytic methods, scoring frameworks, dashboard configurations, and data-pipeline architectures are protected by one or more pending U.S. patent applications, including but not limited to U.S. Application No. 64/057,347. The display of these methods on the Site is for informational purposes only and does not grant any license, express or implied, to practice the claimed methods.
7. Trademarks
“Harborwright,” the Harborwright logo, and related product names are trademarks of Harborwright, LLC. You may not use our trademarks without prior written permission, except for nominative fair use that accurately identifies our company or services.
8. AI-Generated Content
Portions of the Site, including certain dashboard outputs and narrative summaries, may be generated or augmented by artificial intelligence systems operated by Harborwright. AI-generated outputs are provided “as is” and may contain errors. You should independently verify any information before relying on it for transactions, investment decisions, or other consequential actions.
9. User Content and Conduct
If you submit comments, feedback, or other materials to Harborwright, you grant us a perpetual, royalty-free, worldwide license to use that content for our business purposes. You represent that you have the right to submit it and that it does not infringe any third-party right.
10. Data Sources and Federal Information
Our reports draw on data from federal, state, and local sources, including the U.S. Census Bureau, Bureau of Labor Statistics, Bureau of Economic Analysis, HUD, and other public agencies. Federal data is provided as a public good but Harborwright does not warrant its accuracy or timeliness. Where federal data has changed or been withdrawn, our derived analyses reflect the data available at the time of publication.
11. Third-Party Links and Services
The Site may link to third-party websites or embed third-party services (analytics, email subscription, video, etc.). Harborwright is not responsible for the content, privacy practices, or availability of those third parties.
12. Privacy
Your use of the Site is also governed by our Privacy Policy, which is incorporated into these Terms by reference.
13. Disclaimers
THE SITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. HARBORWRIGHT DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED OR ERROR-FREE.
14. Client Data Carve-Out
Notwithstanding any other provision of these Terms, materials prepared specifically for a Harborwright client under a master service agreement, statement of work, or non-disclosure agreement remain governed by that contract, including with respect to ownership, confidentiality, and permitted use. Nothing on this public Site grants any right in client deliverables.
15. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, HARBORWRIGHT WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF YOUR USE OF THE SITE. OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID HARBORWRIGHT IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.
16. Indemnification
You agree to indemnify and hold Harborwright, its officers, employees, and agents harmless from any claim or demand arising from your use of the Site or your violation of these Terms, including reasonable attorneys’ fees.
17. DMCA Notice and Takedown
If you believe content on the Site infringes your copyright, send a written notice to our designated agent at info@harborwright.com with (a) identification of the work claimed to be infringed; (b) the URL of the allegedly infringing material; (c) your contact information; (d) a statement of good-faith belief that the use is not authorized; and (e) a statement under penalty of perjury that the notice is accurate and you are authorized to act.
18. Termination
We may suspend or terminate your access to the Site at any time for any reason. Sections 5 through 19 survive termination.
19. Governing Law and Binding Arbitration
These Terms are governed by the laws of the State of South Carolina, without regard to its conflict-of-law principles. Any dispute arising out of or relating to these Terms or your use of the Site will be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, seated in Charleston County, South Carolina. Judgment on the award may be entered in any court of competent jurisdiction. The prevailing party in any arbitration or court proceeding is entitled to recover reasonable attorneys’ fees and costs. YOU AND HARBORWRIGHT WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION.
20. General Provisions
If any provision of these Terms is held unenforceable, the remaining provisions remain in effect. Our failure to enforce any right is not a waiver. These Terms are the entire agreement between you and Harborwright regarding the Site and supersede any prior agreements. We may update these Terms at any time; the Effective Date above indicates the current version.
